Program Overview


The Program allows eligible Referring Parties to earn rewards by introducing new businesses to CoAd's PEO or Payroll services.


This Program supersedes and replaces all previous CoAdvantage and PrimePay client referral programs. Any pending referrals submitted under a prior program that have not yet been paid will be evaluated under the terms of that prior program.


Eligibility / Referring Party
  • ‍To be eligible, the Referring Party must be a current Active Client or an employee of a current Active Client at the time the referral is submitted and at the time of Reward distribution.

• Individuals who are not current Active Clients or employees of current Active Clients may also participate in the Program and submit referrals. However, the Referring Party must not be an owner, employee, officer, director, contractor, consultant, agent, or otherwise affiliated with, or have a financial interest in, the business being referred. Referrals involving businesses with which the Referring Party has any direct or indirect employment, ownership, contractual, or financial relationship are not eligible for a Reward under this Program.
• Commissioned employees of the Company whose compensation already includes incentives for client acquisition are not eligible to receive a Reward. All other employees of the Company are eligible and subject to the same terms as client referrers.
• The Referring Party must not be enrolled in any CoAdvantage, PrimePay or CoAd. partnership program, revenue share arrangement, or have a separate referral agreement already in place at the time of submission. Participation in those programs is mutually exclusive with this Program.
• The Referring Party may not refer themselves, a business they own or control, or an entity in which they hold a direct financial interest.
• The Company reserves the right to disqualify any referral it reasonably believes was submitted collusively or in a manner intended to circumvent the intent of the Program.


Referral Submission


• Referrals must be submitted via the official CoAd. referral form. Verbal, email, or informal submissions will not be accepted.
• Where two or more Referring Parties submit a referral for the same Referred Business, the first valid, timestamped submission on record will be recognized.


Reward Payment


• Reward amounts and applicable tiers are published on the Program page and may be updated from time to time. The Reward amount in effect at the time the referral is submitted will apply to that referral.
• Rewards for referrals that result in a payroll enrollment are paid via Tango card, delivered to the email address on record for the Referring Party.
• Rewards for referrals that result in a PEO enrollment are distributed based on the Referring Party's relationship with the Company: existing Active Clients and their employees receive rewards as an invoice credit applied to their account; CoAd employees receive rewards via paycheck; non-clients receive rewards by check upon submission of all required documentation.
• Tango card rewards are delivered to the email address on record for the Referring Party. The Company is not responsible for rewards sent to an incorrect or outdated email address. Unclaimed rewards are subject to the expiry terms of the Tango platform.
• The Referring Party must be an Active Client or a current employee of an Active Client at the time of Reward distribution. If that relationship with the Company ends before Reward payment, the pending Reward is forfeited.
• To qualify, the Referred Business must complete 2 full monthly billing cycles or sign a yearly contract with CoAd.
• Reward Payment will be issued within 60 days of the referred business meeting the eligibility criteria.
•    Referring Parties are solely responsible for any federal, state, local, or other tax obligations arising from receipt of a Reward. The Company may issue applicable tax forms where required by law.


Disqualification and Forfeiture


• The Company reserves the right to disqualify any referral and withhold or recover any Reward if it determines, in its sole discretion, that the referral involved fraud, misrepresentation, collusion, or a material breach of these Terms and Conditions.
• If the Referred Business cancels its service agreement or falls into arrears before completing two (2) full monthly billing cycles, no Reward will be paid.
•    Referrals remain valid for six (6) months from the date of submission unless otherwise approved by the Company.
Program Modifications
• The Company reserves the right to modify, suspend, or terminate the Program, or to update these Terms and Conditions, at any time and without prior notice. The Terms and Conditions in effect at the time of Reward distribution will govern that Reward.


Privacy and Data Use


• By participating in the Program, the Referring Party agrees to CoAd's Privacy Policy and Terms of Service.
• By submitting a referral, the Referring Party represents that they have obtained any necessary consent from the Referred Business contact for their information to be shared with the Company.


Top Referrer Bonus


• The Referring Party eligible for the Top Referrer Bonus of $2,500 must have referred a minimum of three (3) Referred Businesses during the applicable Program period.
• Only Referred Businesses that have met all Program eligibility requirements and remain active clients at the time the Top Referrer Bonus is awarded will count toward the minimum referral requirement and bonus calculation.
• If no Referring Party meets the minimum requirement of three (3) active referred businesses, the Company reserves the right not to award the Top Referrer Bonus.
•    The winner will be determined based on the greatest number of qualifying Referred Businesses that remain active clients as of Dec 31st of the applicable calendar year.

PEO Referrer Eligibility


• To qualify for a Reward under the PEO referral program, the Referred Business must have a minimum of five (5) employees at the time services commence with CoAd.
• Referrals of businesses with fewer than five (5) employees are generally not eligible for a Reward under the Program.
• Notwithstanding the foregoing, the Company may, in its sole discretion, provide an incentive or compensation for referrals of businesses with fewer than five (5) employees on a case-by-case basis if:
o    The Referred Business remains an active client for at least six (6) consecutive months; and
o    The Referring Party has referred at least three (3) other Referred Businesses that have met all Program eligibility requirements and remain active clients at the time of evaluation.
• Any incentive or compensation awarded under this exception is discretionary, may vary in amount, and is not guaranteed.
 

Definitions


For purposes of this Program:
·       Active Client means a client of CoAd with an active service agreement that is in good standing and not materially delinquent in payment obligations.
·       Company means CoAd and its affiliated entities administering the Program.
·       Program means the CoAd Referral Program, as amended from time to time.
·       Referring Party means an individual or entity eligible to submit referrals under these Terms and Conditions.
·       Referred Business means a business that:
 (a) is not an existing client of the Company;
 (b) is not an active sales opportunity or prospect already being pursued by the Company at the time the referral is submitted; and
 (c) has not previously been submitted as a referral by another Referring Party.
·       Reward means any incentive, payment, credit, gift card, bonus, or other compensation offered under the Program.
·    Qualified Referral means a referral that satisfies all Program requirements and results in a Referred Business meeting the eligibility criteria for Reward payment.
